is it possible in tmpgenc? or is it possible at all without encoding back to avi?

Should be possible with an mpeg editor like ulead videostudio 6 or mediastudio pro 6.5 or possibly adobe premiere and keep in mpeg without reencode.

Fading in/out includes actual image manipulation - you can not do it without re-encoding. Even if software will save it as MPEG, it has to do background AVI conversion first. The only thing that you can do is this: cut off the part to be faded out, fade it out in any editor, convert from avi to mpeg, and slap it back on. That way the main part will not be re-encoded.
