convert .VOB file to .MOV - sound out of synch

I have a source file summary:

VOB

VIDEO - mpeg-2, 720x480, 8000kbps
29.97 fps

AUDIO - 48000Hz, 1536 kbps

converting to:

MOV - ffmpeg mpeg4, 720x480 8000 kbps, 29.97 fps, no crop

AUDIO - aac, 48000 Hz, 96 kbps

ANYTHING jump out as wrong...is the audio rate difference the problem? If I set it to 1536 and encode it won't go...the bell immediately rings!

Click on the Progress pane's info button (the "i") and post its contents. That will give you detailed information on why ffmpegx choked.
