Divx 5.2.1 won't install

I downloaded it off divx.com for win98/ME and when I click yes to install it just freezes and saids not responding in alt del ctrl. It does it everytime. I'm trying to use Vdub to edit some divx files but it says the proper decompressors or whatever arent available but I cant get the stupid codec to install. What can I do? I remember a long time ago I used to be able to edit divx in Vdub easily. ****?

The installation program wants to access the Web at several points during the install and if it can't get out, it keeps retrying.
It will eventually time-out and continue but each pause may take up to 5 minutes.
It seems to do this 3-4 times during install, just let it go - it will eventually complete.
