I've been trying this for weeks. I have vegas and a couple other program s but none of them are letting me to what i want to do. I want to import a clip (.vob file if possible) and fade the end of the clip (audio and video) keeping the original picture quality and 5.1 dolby digital ac-3 stream.....
Any Ideas??

There's your problem - you can't edit AC-3 audio in Vegas.
You'd need to break the 5.1 mix into separate channels and essentially remix it (in Vegas) and then re-encode it with the AC3 plugin. What you mention isn't very easy, it just takes time. -
You won't be able to keep the original picture quality and sound quality - they will both have to be recompressed, unfortunately.
