Join Divx with different sampl.rates

Hello,

how can I join two divx files with different sampling rates ? One is 30.008 and the other 30.004. I tried to join them with virtualdub, but it isn't working.
Can I resample it with tmpgenc ? But then the sound would be out of sync.

One way which was working: Make VCD out of divx files, join the vcd (which is working), and redo divx.

But I guess there must be an easier (and better) solution to keep the quality and keep it in divx.

Load the AVI into Vdub, use codec to save. Match the other ones format.
