    Google "Google video upload"

    these are preferred:

    5. What file formats do you accept?

Google accepts video in a wide range of popular formats. The fastest way to get your videos into Google Video is to submit each file in MPEG4 format with MP3 audio or MPEG2 with MP3.

While we also support other digital formats such as QuickTime, Windows Media, and RealVideo, it's important to note that submitting your files in these formats may significantly delay us from using them on Google Video. In some cases, we may not be able to add your video at all.

Here are our preferred video specs:
NTSC (4:3) size and framerate, deinterlaced
    Video Codec: MPEG2 or MPEG4 (MPEG4 preferred)
Video Bitrate: at least 260Kbps (750kbps preferred)
    Audio Codec: MP3 vbr
Audio Bitrate: at least 70Kbps (128 Kbps preferred)

    7. What are the system requirements for the Google Video Uploader? Is there a size limitation? A maximum number of videos I can upload?

You can upload as many videos to Google Video as you like, without any size or length limitations. However, we do require the following:

    * You must be operating on Windows 98 or higher, Mac 10.3 or higher, or any OS that has Java 1.4.1 or higher in order to install the Uploader.
    * You'll need a broadband connection to upload video.

    *******************************************

What you use to do the encode is up to you. VLC doesn't do vbr audio but cbr 128 or 196 would probably pass if the rest met their specs.

They are going to make it into Flash to stream. They want it in a format that can be converted cleanly and quickly.

Give them mp4 video with mp3 audio and they will be happy and your video will be universally playable when downloaded. MP4v/MP3a at their specified bitrates is a small file with decent quality.
