There's not much you can do. You are trying to recompress an already compressed file, which always has a quality loss. You might convert the WMV to an uncompresses AVI and then convert to MPEG, but the quality most likely wont be the same.

I DON'T think Windows Movie Maker encodes to MPEG2. Lose the WinAVI. If you want to encode to MPEG2, use a better encoder, i.e. Mainconcept, Procoder.

What is the source resolution and bitrate ?

Neither tool you have mentioned is particularly good at what you are trying to do.

  5. Forum Troll:
    thankx

    guns1inger & slacker :
this is info for one of my videos

    Video size: 640x480
    Audio: 44100hz, 16bps, 2ch
    Length: 0:39:30
    Bitrate: 1053kbps

conversion doesn't have to be to MPEG2 only. MPEG1 will still do.

mpeg1 will definately reduce your quality. Keep it mpeg2, NTSC 4:3 CBR 8500 with 192 2 Channel AC3. Use a good quality encoder (tmpgenc, procoder express, CCE basic). The results should be no worse than your original.
