  1. i have this movie, but it came with subtitles on a separate text file
i used virtual dub and did all that frameserve stuff, but my question is do i use virtual dub to get the audio as a .wav then use the wav as my audio source for tmpg while using frameserve because when i tried that tmpg always freezes up on me

There's no need to use a seperate wav file while frameserving, If your avi has VBR audio you should still create a wav, but then I would encode an elementary stream(ES- video only), create an mp2 from the wav file using FFMPGgui, then mux the mp2 with the video using TMPGEnc's mpeg tools.
