I am trying to convert an AVI to MPEG in TMPGenc but when I am at the last step of the wizard it is telling me that the file output will be 121 min long where the file itself is only 42 min long ( I even watched it )
Any idea why or how I can convert it over?

I have run into this problem when I use the huffyuv codec and capture long video clips. The only solution I found to work is to do my cutting in TMpgenc (Source Range) not virtualdub.

spooky, let me guess, this is a downloaded divx file, yes? Some of these have audio encoded in Variable Bit Rate mp3 which TmpGenc doesn't handle well and it tends to see the avi as much longer than it really is. You can do as bpjenn suggests which should work, but occasionally causes sync problems. Personally I would open the avi in goldwave (a shareware audio editing app but it will open avis) and then save out the audio as uncompressed PCM audio (which the save as dialog defaults to). You may want to do the appropriate sample rate conversion in goldwave too if it is required.
