when I went to download it, it stated it required 64 megs ram and at least 500mhtz processor....I have neither...will it still work? a lot of these things I've tried to download states something similar....just wondered if it will hurt my comp...I want to burn to disc so I can watch on the tv...maybe it doesnt make a diff if you're doing that...I have no idea....I appreciate the help...

You can still download and try it.
It shouldn't hurt your PC in any way - TMPGenc is a pretty friendly program and doesn't go changing anything else or associate any file types to itself. You can even have multiple versions on the same machine without any conflicts.
The worst that could happen is that it will lock-up when you try running it and you'll have to re-boot. Just don't have any important unsaved files open before running it.
The only problem you will likely find is that it will take quite a long time to encode files on your processor. It is optimized for Intel processors so that along with your processor speed may make things even slower.
I say give it a try, either it won't work, or it will, but it shouldn't hurt your PC and it is easy to remove.
I don't know of any other encoders that would be any better on your computer. -
