I want to convert a 23.976 fps DivX movie to 25 fps VCD
Without TMPGEnc jumping and adding frames.
Anyone who knows how???

Personally, I'd use VirtualDub to change the frame rate, and re-sample the soundtrack to the appropriate length.
What you're trying to do is bascially the same as what's done when films are transferred to PAL. They show every frame once, but up the rate from ~24fps to 25 fps. Films are therefore about 4% shorter when you watch them on PAL.

I extract the audio as a WAV file, and use CoolEdit to speed it up. I use a small program called AVIFrate that patches the AVI frame rate - that way you don't have to frame serve with VirtualDub....
