I plan on using TMPGENC to remultiplex a M2V and AC3 file to MPEG2 so I can burn to dvd-r. If I do this, will I loose any picture/sound quality? Are there special settings to do this in TMPGENC? Is there another (free or trial) program that will remultiplex these files with minimal quality loss?

Use BBMpeg. Take a look at:

for more info about how to use BBMpeg.
I don't know how what will be done with the subtitles, more info later. -
It doesn't matter what software that you use... Multiplexing is a lossless operation.
