Why? Do you purposely want your video to play jerky? Is something wrong with the 23.976fps framerate? If so, what?

No it makes no sense to change the video. NTSC video can be 23.976fps or 29.970fps and it depends on the video properties but both run at the same rate (I know it's confusing).

Progressive NTSC video is 23.976fps and should be left that way.

If your audio doesn't match then you can time stretch or time shrink it to fit. This can be done in an audio editing program like GoldWave or Adobe Audition etc.

Please note that the audio from the original should match but I'm guessing when you said that you want to replace the audio that you are getting the audio source from another source. In which case what I said still holds true. I'm guessing your audio comes from a PAL source where the frame rate is 25fps and that does run about 4% faster than NTSC/FILM rate video.

You might want to try a program called: eac3to

It has an option to change from PAL to NTSC or NTSC to PAL

I'm guessing your audio is PAL so if you use the option to change it from PAL to NTSC then it might match your video.

When you download and unzip eac3to look for the file yr_eac3to_more_gui.exe and run that. That is the GUI front end of the program. You want the option to slow down the audio from 25 ---> 24/1.001 which is on the Eacto Audio tab in the GUI.

I've never done it this way but this is probably the easiest way to do it.
