Perhaps you need to install the 64 bit version of the Xvid codec

    xvid-1.2.2-vaq-x64.zip

lol thanks man, it works in Vegas, strange thing though I installed shark 64 bit codec package with xvid and why would that not work then ?????
I mean I just double checked it is the 64 bit Shark Codec Pack, can you comment on that ???, but there is still one more small problem I just ran a test and when I convert xvid in AVS video converter , it converts the file however windows 7player can not play it when the same file converted with xvid in vegas plays perfect...
kind of sick and tired of all those codecs adapting to 64 bit os's...
    one big mess so far...

    thanks again !!!
    Cheers

I guess the Shark flipped you the bird?

Who knows? It's a minor miracle any of this stuff works at all. Even worse on 64 bit OS is Quicktime. Perhaps they've addressed it but for years they didn't have any support for XP64.
