    They must be of the Same Spec,Or you will have to Re-encode.

    Although VirtualDub shows 25.000 fps for both it's possible that there is a difference -- ie one might be 25.000001 or 24.9999999 for example. Try using AVIFrate to set both to exactly the same value.
