How did you extract the wav?
I'd recommend Goldwave - just load the AVI, save wav.

Never had the problem? It is a very common problem since TMPGEnc doesn't handle VBR mp3 audio properly.

Personally if I was to use TMPGEnc, I would frameserve with AVISynth since that decodes the audio on the fly and serves PCM.
If you saved the VBR mp3 with a wav header then it would still be VBR mp3, you need to decode. -
demux it with virtualdubmod then convert the audio to wav with just about any audio program, and load THAT into tmpegenc.....

TMPGEnc cannot handle VBR audio and AC3 audio.
Solutions could be
Open the file in VirtualDubMod and framserve it to TMPGEnc. This will in most cases solve the problem.
OR
Follow the demux method
1. Open the file in VirtualDubMod
2. go to streams>streams list.
3. Select audio stream and click demux
4. convert audio to MP2 (224Kbps, 44Khz) using HeadAC3he or BeSweet
5. Load original movie file in TMPGEnc and encode only the video component. That is convert to M2V file SVCD compatible.
6. Once you have the separate audio (MP2) file and video (M2V) file then use TMPGEnc mpeg tools option to mux the files to MPEG2 file.
This MPEG file should be fine with proper audio.
Good Luck.
