Problem with sound converting avi to mpg

I hear "background noise" when I use tmpegenc to convert certain avi/divx files into mpeg. Anyone else experience a similiar situation and know of a solution?

best thing to do is extract the audio b4 you encoded to an MPG file I us virtual dub https://www.videohelp.com/divxtovcd.htm#audio this guide should help ya with extracting the audio from the avi file.
