    I have one movie that has a great picture, but no english track on it. I have the same movie with horrible picture, but the english track on it.

    Is there a way to convert the movie with great picture, and the movie with the english audio so that they end up on the same mpeg files?

    Sure it's easy. However, you didn't say what format these movies are in. If DivX you can demux in VDub, then remux in VDub. If MPEG then use TMPGenc.
