    I had been converting many Divx to VCD with out problem, I first process the audio file with Virtual Dub and make a separate .wav file, and then un TMPeg, but this time the Divx is on AC3 codec, how can I convert this one?

    Use ac3dec or azid. Both work just fine using command line parameters. You gotta love those divx with ac3!!!
