Upgrade to Vegas 12 on Win XP?

I am using Vegas Movie Studio Platinum 9. I was looking at Movie Studio Platinum 12 and there is just enough info there on OS requirements to lead me to ask... Will Movie Studio Platinum 12 work on XP SP3?
