so i am in the middle of a new PC Build i am stuck on the PROC's ,here are my choices so far (i am a AMD guy)

    AMD Athlon 64 X2 7750 Kuma 2.7GHz 2 x 512KB L2 Cache 2MB L3 Cache Socket AM2+ 95W Dual-Core black edition Processor 67.00 (can be OC'ed easily)

    AMD Phenom 9600 Agena 2.3GHz 4 x 512KB L2 Cache 2MB L3 Cache Socket AM2+ 95W Quad-Core Processor $95.00
(side note , apparently it's not great for OC'ing

I would probably go with the Phenom II X3 AM3 if you are replacing the MB anyway. I have the Phenom II X4 920 AM2 and it overclocked easily to 3.3Ghz with just a change in the FSB frequency, and still runs cool. But you do need the correct motherboard and memory for it. And for the AM3's, there aren't that many MBs out there, so that's also a consideration. I've had the best luck using Gigabyte MBs with AMDs.

The Agena is getting a bit old, that's what I pulled and replaced with the Deneb. And you are correct, the Agena doesn't OC very well.

Generally more cores are better and faster CPUs are best. I wouldn't use a dual core any more for encoding if a quad core is available. Especially with H264 encodes.
