Hi, well i finally have my h264 avi from a MKV.
I need to convert this h264 to XVID, virtualdubb wont let me open or reencode the video because i dont have the apropiate codec installed.
VirtualDub gives me this error:
"Couldn't locate decompressor for format 'h264' (unkown)"
On virtualdubmod i can open the video, the same error jumps but i can open it, but i can only use "Direct Stream Copy" on the video menu.
Any ideas?

try ffdshow and be sure to enable h264 vfw decoding under vfw decoding options->decoder->codecs->h264->libavcodec

Great! i can open the file with no problems at all.
Now.. to be honest i have never encode with XVID, can some one point me to a good tutorial for xvid encoding? my original video file is beatufull (HQ) i wouldnt want lose any quality.
I found some guides here.. but only with 1 pass encoding.. ive heard that is better to use 2 pass right? any comments on this?

I tried to set the same video bit rate in VirtualdubMod as the origianl H.264 one. However, it seems never work correctly. Here is what I did: video->compression->Xvid->config-> set "target bitrate"=the video bitrate in the original H.264 avi file. The converted avi has always lower bitrate than the original one-- sometime it is off quite bit.

Some people have a strong preference for one or the other (Xvid of Divx). I think Xvid is better but the differences are all the big.
H.264 compresses video better than Xvid or Divx. You will have to use a higher bitrate to get the same quality. Xvid may be missing your requested bitrate because the quantizer limit settings on the Xvid Configuration -> Advanced -> Quantization page. All the minimums should be set to 1, the maximums to 31. Other than that -- there were some old releases which didn't hit the requested bitrate very well.
If you don't need files of a specific size you should just use single pass target quantizer mode mode. A quantizer of 2 will give you a result that is nearly indistinguishable from your source. At three there will be a little macroblocking if you look closely at still frames (you won't notice at normal playback speeds). Higher values will give progressively lower picture quality and smaller file sizes.

You are in breach of the forum rules and are being issued with a formal warning. Buy Ghost on DVD. Don't dig up 3 year old topics. Convert mkv to avi xvid with alltoavi.
