What frame rate does your Xvid have? 23.976 perhaps? When you encoded to mpeg the frame rate was changed to either 25fps for PAL or 29.97 for NTSC. Try using the frame rate conversion presets in Besweet to match the output from TMPGEnc. Check the frame rate of your avi in Virtualdub by going to File>File Information. Make sure you have "full processing mode" selected in the audio menu when extracting to wav too. Otherwise your are merely extracting the original compressed audio.

When you saved the WAV, did you really do it? The default setting is to save the MP3. The WAV should be 200 MB+. If it's under 30 MB it's wrong.

Ok, the mpeg you created that is out of sync, what are the lengths of the audio and video? You can find out by opening the mpeg with Virtualdub MPEG2 and going to File>File Information. I'm guessing the lengths don't match. Also, what is the length of the wav file as reported in whatever player you use for wav's? Does it match the mpeg video lenght? You might want to consider letting TMPGEnc encode the audio as well as the video. Just use the wav file as the audio source.
