Ok so i download this avi, i got 2 problems
1. It has 3-4 sec of bad frames... so i use this method to fix it

2. It is in NTSC and i need it in PAL... so i extract the audio... change the framerate to PAL using Besweet... and use VDub to extract the video at 25 FPS.
So i play them both to check the length... the audio is 1 second shorter than the audio... i didnt know whether this would make a lot of difference so i used TMPGenc to convert a small selection at the end using the PAL VCD template and select "do not frame rate conversion"
Now the audio is out of sync
Any one know why?
