File Size problems :(

Ripped a DVD with Smartripper, then DVD2AVI and encoded with TMPGEnc 2.58. No problems getting to this point

Now I've got a Mpeg-1 that's 1hr 22mins long, weighing in at 820meg, nothing wrong with that either (stay with me !)

cut the end titles off to get it to 1hr 20, 804meg, now when I try to make this into a VCD using VCDEasy with chapters, it says that the mpg is 940meg !!!!

What am I doing wrong, or do I need to re-encode, dropping the bitrate ? and if so how ?

Did you try burning it? VCDEasy's CD size calculation is almost useless, ignore what it says unless it tells you the image is too big when you try to actually burn.

If your bin/cue CD image is coming out at 940MB, your file might just be multiplexed incorrectly. If you see a message about "automatically padding" the MPEG when it creates the image, it's the multiplexing. Use tmpgenc's MPEG Tools to demultiplex the file to m1v and mp2 files and then multiplex those as "MPEG-1 VideoCD" for a standard VCD or "MPEG-1 VideoCD (nonstandard)" for an XVCD.
