Any idea? I've tried IMtoo and Xilisoft, but they only use the CPU 15%.. and so the conversion takes ages. I would prefer a converter that uses my CPU 100%, if it uses my nvidia gtx 460 as well then that's a bonus I guess (but not necessary). I need the converter to convert 1080p avi files to mp4, for uploading to youtube
any recommendations?

Xvid4PSP. Use one of the x264 presets. That will put your CPU to good use.
MediaCoder has a CUDA based h.264 encoder that can put your GPU to good use. It's very fast but I don't find the quality acceptable. It may be ok for Youtube uploads though.
If your AVI files are already h.264 and AAC or AC3 you might be able to just remux them into an MP4 container with YAMB. That would be fastest but they won't get any smaller. -
if i remember correctly your biggest problem with the cuda encoder is that it suffers from frame beating, in other words it gets drunk then goes home and slaps it's frame around (<--sorry, couldn't resist).
have you tried the quality with just I and P frames, perhaps that would resolve the quality issues.
