Frys s is offering Windows Vista Ultimate OEM for $169.99 with Motherboard and CPU combos. Are their any differences or limitations between the OEM and retail versions of Vista Ultimate?

Yes, one big difference.
I would wait close to the full 30 days before activating, in case you want to change things around or need to reinstall or want to try it on a different computer. Once activated, it's there to stay.This OEM software is intended for system builders only and cannot be transferred to another PC once it is installed.
The regular version can be transferred to a different computer. (Of course, it can only be used on one computer at a time.)
EDIT: The regular version also lists for $400, but comes in a box.
