I have changed the settings in TMPGEnc as suggested in the link

and at last I could encode the film....thanks.....however I keep getting flashes of green every now and then....what can I do to improve the quality.

Try saving out the Xvid video with different compression i.e 4.12 under full compression. Then save out the audio as a wave, if its not Ac3 sound, if it ii change the wave header on the audio to AC3 and run through Headac3e, which changes it to a true wave file.
Run both these through Tmpgenc and voila you have your mpeg
