Converting everything to mp4 using ffmpeg

Hi everyone.
I have philips dvd player.
It supports standard MPEG-4,
I would like to convert all movies to this format using ffmpeg.
Not much on this I know, I found this command:

ffmpeg-i input.av5-r 25-vcodec mpeg4-b 1024k-acodec libfaac-ab 128k-ar 44100-ac 2 output.mp4

If I use libx264 codec and libfaac works only sound.
I wannt have file no more importance 350MB,
Would need a command to a simple two step process if you can do this for me?


BTW is it in general bitrate calculator for mp4??
