First off, I'm new to video editing.. so go easy on me!
Anywho.. I'm looking on how I can get this effect (maybe there is a name for it) and if I have the right software. I'm looking to get a faded black edge on my video to give it a dark/gloomy/dramatic look.

I have Adobe Premier CS3 and Adobe After Effects. Can I achieve this with these two programs? If not, what do you suggest? If I can, could anyone explain how to pull this off?

The faded dark top isn't an effect, it is a graduated filter used while shooting. Fifth Gear (and Top Gear) use them all the time to give a dramatic effect. There are a number of manufacturers, Cokin are big in filters for still cameras and there are a couple of others that intend them to be used for video. At one time, just about every outdoor publicity shot your saw had been shot with a Cokin graduated tobacco filter giving a fade to dark brown over the sky.
Doing it in software shouldn't be too difficult. You may have an effect already or you may be able to edit a vignette effect (as vignetting usually fades out all edges and not just the top). If you can't, create a faded frame, dark at the top fading down to nothing at the bottom, and overlay that on your video. -
Believe it or not, a number of software-version filters are surpassing the glass versions! There have been several articles on this topic this year in DV magazine.
