    Open Virtualdub (freeware)
    File>open video file>select your AVI
    File>save wav
    Close Virtualdub
Open TMPGEnc (mpeg encodeing is free)>close the wizard
Load>template>load video cd NTSC template (i'm presuming your files are NTSC 29.97fps and the audio is mp3)
Video>insert your AVI - always put the video file in first
Audio>insert the wav file you saved earlier
    Choose an output filename/location
Setting>advanced - make sure the aspect ratio is ok
    Hit start
    Go to bed
    Wake up
    Watch your MPEG

This is a very basic way of doing it, best thing to do is read the many guides on this site and experiment yourself, have fun.
