    would a 2 pass be fine since I'm just converting
    shouldn't see any quality degradation right?

    With 2 pass in DrDivX you'll get minimal loss, if you get audio sync problems .... don't try to tweak DrDivX but step over to VirtualDubMod.
    Load avi, Video > fast recompress, video > compression select DivX 5, hit file > save as.
