i have m2v file CBR encoding (i think) if i will reencod it with 4-5 pass than my results will be better? and if yes how can i do that and with what?

You think wrong........You can never get better quality than source. If you want better quality, then rencode the AVI.
Got my retirement plans all set. Looks like I only have to work another 5 years after I die........
