I have a video that is encoded as follows:
Video Codec: DivX 5.2.1 Alpha
Audio Codec: 0x0055 MPEG-1 Layer 3
Audio Sample Rate (Hz): 44100
Audio Bitrate(kbps): 128
Audio Bitrate Type ("CBR" or "VBR"): VBR
But, when I try to play it the audio go out of sync the longer it plays.
I tried Vitual Dub Mod, but, got this warning:
But, when I try i get another warning window saying that I have no Codec for DX50.VitualDub has detected an improper VBR audio encoding... If audio header is rewritten with standard CBR values this can intoduce up to 1562 ms of skew... If this is unacceptable then decompress audio strem to a WAV file and recompress with a constant bit rate of 122.4 kbbs.
I have tried to "strip" off the audio and re encode, buit, the audio still goes out of sync.
Any ideas?

First, it looks like you need to install the Divx codec.
Then with VIrtualDub Mod, select the audio in 'Streams' and then 'Full processing mode'. Save it out as a WAV file. Then add it back in and disable or delete the old VBR audio. Check for sync at this point. If your problem is still the same, the audio and video lengths are probably different.
You can adjust the audio length with a audio editor like Audacity. Output from Audacity as a WAV or as MP3 CBR, depending on what you want to do with the file when you get the sync correct.
VBR audio shouldn't cause sync problems for what you are doing. Did you do the Divx conversion yourself or did it come that way?
Framerate conversions, such as PAL to NTSC, bad frames, missing audio, corrupt video, bad cuts and joins can all cause sync problems. VBR audio just makes the problem worse. -

(but I have gone ahead and starting to download Divx6)
In fact, excpet for this sync problem, I can play Divx videos in every player I have except for VIrtualDub Mod. Only it gives this warning when I try to play Divx:
Couldn't locate decompressor for format "DX50 (unknown)
VirtualDub Requiries a Video for Windows Compatible codec to decompress video. DirectShow codecs, such as those used by Window Media Player are not suitable

Installing the newer Divx codec should give you the VFW compatible codec VDM needs. You probably just have the Direct Show version. I would also install the LAME MP3 ACM codec. Make sure you get the right one with LameACM.inf in it.
With VBR audio, you may not be able to properly read the the length of the audio track. That's why I would convert it to WAV or at least CBR audio. I suspect there are other problems with the file causing the sync error, though.
With VDM you can check for errors in the file and repair some of them. -

I keep getting a message that it won't run except under Windows XP and above
So, How can I get a Divx codec to work with VDM under WIN98?

This is what happens when you run an OS 10+ years old on ancient hardware.
If you want stuff to work, you need to upgrade. If you don't have the money, I understand, but don't expect the world to support your ancient set up. If you are lucky, Xvid might still support Win 98 and perhaps you'd have better luck with that. -
Sorry, I missed you were using W98.
I haven't worked with that in years.
I would find a older version of the Divx codec, or try Xvid and see if that will supply the VFW codec VDM needs.
You probably have your reasons, but XP would have more options to work with newer programs.
