  1. Is the only difference between these two players the ability of the 5140 to play DivX Ultra? And the physical size of the 3040? Does anyone know what chipset the 3040 has?

I believe it is also based on some variant of the Mediatek 1389. However, reports are that it doesn't like packed-bitstream files.

From the firmware listings I've seen, the SubVer and the DSP versions are different than the 5140's (as well as the actual firmware version, of course...) I haven't tinkered with one personally, so I don't know a ton about it.

    MODEL/WIDTH/HEIGHT/DEPTH
    DVP-0642/435mm/43mm/232mm
    DVP-5140/435mm/37mm/222mm
    DVP-3040/360mm/37mm/235mm*

*DVP-3040 measurements taken from Philips' site; I found they were a little off on the listed measurements on the 5140 when I actually measured my unit at home... the 5140 was also listed at 235mm deep.

  3. I went ahead and purchased a 3040 for the bedroom. I also have a 5140 and it seems the playback capabilities are identical except for the DivX Ultra. Here is some more detailed info:

    5140
    Version 37.06.19.07
    Sub-Ver 00.00.06.06
    8032 05.00.04.02
    Servo A8.58.30.00
    Risc 05.00.04.02
    DSP 03.02.02.54

    3040
    Version 37.06.33.04
    Sub-Ver 05.00.02.05
    8032 05.00.04.02
    Servo A8.58.30.00
    Risc 05.00.04.02
    DSP 03.02.02.14

As you can see, these two units are very similar, right down to the Servo. I wonder if it would be possible to upgrade the 3040 to play DivX Ultra files with a firmware from the 5140. If one existed.

thats a hacked firmware that fixes the packed bitstream problem, but only for the /12 or euro version, dont try it on the American version or youll have one dead player, trust me.
