That's an incredibly long sentence. A lot easier to read if you break it up with periods and paragraphs.

Anyway, run it through AVIcodec and you may find it has MP3 VBR audio that TMPGEnc doesn't like. Also you need to not use the wizard. There are guides for TMPGEnc to the left that will show you how to get the correct bitrate for the filesize you want.

On the other subject, you may not need to merge the files. If you put them into an authoring program, they should play consecutively without merging. Study the authoring guides.

If the file has vbr audio as redwudz suggests, and it more than lilekly does...then you need to extract the audio to wav. Open the file in virtualdub and go to audio click full processing then click uncompressed wav/pcm then save as wav. Then use this as the audio source in tmpgenc when converting.

    Good luck!

Go into your TMPGenc folder > Template > Extra
Now copy the unlock.mcf file into the Template folder.
    Exit and re-start TMPGEnc Plus.

Presets should now be unlocked allowing you to adjust bitrate settings.
