VCD dat files

I have lots of vcd movies copied on my system and ofcourse the quality is mpeg format. It occupies 700 mb for 2 discs. I want to know a good soft which can convert my .dat files into avi files smaller in size say 300-350 mb on my disk hence saving space. Which is the best encoder out there and codec for the job.

AutoGK and convert to avi divx or xvid. Open the dat, set the ouput size to 350MB. Convert.
