Keep your swish file as a swf. (make it in dv screen size )
For some reason I had better results when converting it to several hundred .bmp's in swf2avi (>tools , video encoders section freeware) and from .bmp folder convert to an avi. (a bit of reading to do ie 5 mins)

Then convert avi to mpeg if required with other tools.

As for overlay, I am unfamiliar with your ulead products.

  3. If there is any software that natively supports Flash files, it must be Macromedia Director MX. However, I have never used it. If I have to use Flash files in my project now, I'll go to Flash to AVI lossless conversion route. This is what Macromedia has to say about Director MX:

Author once and deploy anywhere with Director MX 2004, the proven multimedia tool for building rich content and applications for CDs, DVDs, kiosks, and the Internet. Director handles the widest variety of media and offers powerful new features, including two scripting languages, DVD-Video support, cross-platform publishing, and Flash MX 2004 integration.
