The G400TV will encode Mjpeg. The G400 and G400max are just Graphics Cards no capture facilities. Yes it has hardware DVD decoding and has drivers for Win2K.

The G400-TV has a Zoran MJPEG chip for capturing and playback of files using its codec. The catch is that it is only supported in Win95, Win98(se), and WinME. The Zoran chip is not officially supported in Win2K or WinXP.
If you look at Matrox's support site (http://www.matrox.com/mga/support/drivers/latest/home.cfm), they are not planning drivers for WinXP at all. You can also note on the release notes for Win2K that only software YUY2 capture is supported in the drivers.
Outside of the DVD add-on card (no longer sold or supported either), Matrox's graphic cards use software playback for DVDs.
For more info, look at this site and its forums:

Thanks AndrewDV for correcting my silly mistake. The G400 does not have hardware DVD decoding it uses software decoding as you said. I should know I own one.
Dam good card though
