Asus P4P800, help needed.

I'm putting together a pc with the following components:

MB - Asus P4P800 i865PE P4 800FSB Skt478 DDR ATX Motherboard
CPU - Intel® Pentium 4 Processor 2.8GHz, 800MHz FSB, Socket 478
RAM - Crucial 512MB DDR PC3200 • CL=3 • UNBUFFERED • NON-ECC • 5ns • 2.6V • 64Meg x 64
RAM - Crucial 512MB DDR PC3200 • CL=3 • UNBUFFERED • NON-ECC • 5ns • 2.6V • 64Meg x 64
VIDEO - MSI FX5200-TD128 GeForce FX5200 AGP 8X 128MB DDR Video
PSU - Allied 400W Power Supply
HD - Maxtor DiamondMax Plus 8 or 9 6E040L0 or 6Y040L0 40GB ATA/133 7200RPM

as far as I can tell the above should work on paper, but I'm getting an alert/beep error when I boot up the system.
I get one loud beep followed by a continous loud beep that seems like it's not going to stop.

I have tried the following, I setup the motherboard outside the case just to make sure that it was not touching any metal on the case, but this does not help.
If I remove the cpu I get power and one beep but then again nothing will happen.
If I remove the memory chips I still get the loud beep followed by the continous beep.

the pc does boot to the bios screen and I have tried loading the default settings just to make sure that there were no issues but this has not helped either.
I normally shut the pc off after a very short time since I have no idea why it is beeping.
any ideas/suggestions would be appreciated.

Your motherboard manual probably has information on the beep codes and what they mean. You usually have to know if it's long, short, etc.

the manual is not very descriptive about the warning beeps, I'm guessing
that It might be the memory modules, only because I get the same loud beep with or without the modules installed.
I just have to try to get my hands on different memory stick and try it out.

What? That doesn't make sense... If the same beep code happens w/ or w/o the RAM, it's not the RAM, right?
The manual is not very descriptive? I would have thought that a big name manufacturer like Asus would have goor ocumentation. Their website probably has the beep code information.

If it's just one loud beep as soon as you turn it on... is this before or after the video initializes?

yeah, It does not make much sense but, most of the time troubleshooting is a guessing game.
I have tried several things so far like powering up the mb without the cpu, just to hear what warnings it would generate or remove the video card.
the reason I'm going with the memory theory is that if I remove the memory it gives me the loud warning so if it does the same when it is installed then maybe it's not recognizing it.
I have done some searching around the internet and have not been able to come accross the same problem but have found similar situations with different model boards.
so for now its a crapshot idea, but don't have much else.
once I get some more testing done, I will update the post.

After many tests, from trying different memory and cpu's. It turns out to be the the heat sensor on the MB is bad.
I'm sending the MB back for a relacement.
