  1. I have a file that has this weird frame rate and I try to open it in Tmpegenc and it immediately crashes with the standard windows message that "Tmpegenc.exe has generated errors and will be closed".

I tried to change the priority in the environmental setting but that did not work either, and the direct show multimedia file reader already had priority 1.

So how do I fix this problem? I am thinking i need to convert the frame rate to 23.97 or something and i tried doing that in Vdub but it ruined the audio/video sync and also the file was shrunk from 44 mins to 22.

    Any ideas?

Find out what the audio sampling rate is first.
The first thing I'd try is to make AVIsynth
duplicate even frames twice and odd frames 3 times.
    That's 31.3 fps - close

Or separate into fields and invent some Telecine pattern
    that makes sense.

    Then resample the audio

I am not sure i understand everything what you said as I have not used avisynth before, is there a guide or something you can refer me to.

BTW, audio sampling rate according to vdub is 24000 Hz.

    Thanks a lot man.

You aren't going to get very good results trying to convert something with such a low frame rate. 12.5 is half of the PAL frame rate (25fps), so you could try converting to PAL because it's an even multiple and you'll probably get slightly better results than you would going straight to 24fps or 30fps.

I'm not sure about tmpgenc's error, I've mainly seen things like that when the avi file had bad frames.

I'll look it up. What you have there is a PAL movie at exactly
    half speed.
