May sound silly... but is the software localized into German... i think i got the wrong version of the software! I am worried about installing it on win2k and i end up with German software that i can't use since i don't speak the language... in the process it would install weird German sys files or so... so watcha think ?

Do not worry about this just install. The software is great and you will understand it. Every menu and function is written in English.

There are two editions of WinOnCD, OEM and PE (Power Edition). The OEM version is usually delivered with CD recorder hardware, while the PE version can be bought seperately.
The latest (and probably last) WinOnCD is v3.8. WinOnCd 3.8OEM is available in German and English, including English Manual and Help file.
In WinOnCD 3.8PE you can choose between German and English program dialogs, but the Manual and the Help file are only available in the German Language. The reason is probably that Roxio has chosen to push Easy CD Creator 5, at the expense of WinOnCD.
