When I try to write a VCD using NERO. the CD has five directories
VCD, SEGMENT, MPEGAV, EXT and CDI.

Any idea what I am doing wrong - I tried to input .mpg and also .avi - it accepted both but wrote only these di rectories on CD.

I really think you should read thru the how-to guides. In any case those directories are supposed to be there. Inside the MPEGAV folder you'll find the AVSEQ.dat file which is where the MPEG file is written to.

    bulsi,
If you follow the link I provided about half way down the page is an explanation of the file structures on a VCD: http://www.vcdhelp.com/vcd.htm
As to the playback problems check in the DVD Players compatabilty & user comments section of the forum listed on the left hand side of the page to see if your player is listed.
