Hi all,
I'm trying to convert Divx to SVCD. Divx is with AC3 sound so I'm downmixing them to 2 channels (Headac3. Everything is OK, but sound is crappy and sounds like with low pass-thru filter, with most of upper frequencies cutted out. What am I doing wrong? What to change?

HeadAC3he will give excellent results. I suspect you may not be using it to downsample to 44.1kHz. If you don't, TMPG will do it (presuming this is what you use), with not so good results.
