MPEG plays in Media Player but won't convert

I've downloaded an MPEG video clip, which plays fine in Media Player. However, I can't convert it with either EO Video or TMPGEnc. I tried Graphedit, which gives an error code : 0x80040265.

Any help would be appreciated, thanks in advance.
