Best Way to Encode a MPEG2 Black and White to MPEG2

hi All

What is the best way to reencode a Mpeg2 480x480 2520 CBR 224CBR black and white movie with TMPGenc Plus with VBR and 2520 the max. I basically have a 430MB file That I want to get down to 390MB and sound quality can be lowered to 128Kbps. For Example should the Quantisize Matrix be set to anything specific since it is a black and white?
