When I convert Divx 2 (S)-Vcd I would like the Subtitles in the
black area in the bottom of the screen!
Is that possible? (If so! How and wich software do I use for it?)
When I do now, the subtitle come in the movie and not in the black area!!!
(Using Virtual Dub and TmgEnc)

Answer to your first question is Yes. You can do that.
If the subtitle is already embeded in DivX files, unfortunately you can't remove it. If subtitle is in a separately file, you can put them together, with position you like, using Avisynth/VirtualDub. You can read following guide: http://www.vcdhelp.com/forum/viewtopic.php?t=87065
