If I use this program, will I lose any auido qulity? I do not want to lose 5.1 dd!! I mean what is the purpose of using dvd-r for movies if you are going to downsample both audio and video losing the 2 best features dvd had over vhs. I want to downsample my video just enough to fit, and I want my audio left the alone.

I don't use DVD2AVI for anything audio related. Just load the VOB's, turn off audio, and save the project to create the .d2v for TMPGEnc. TMPGEnc will create the transcoded .m2v video file for you (no audio). Then you just need to get the .ac3 audio stream from the VOB's (use vobedit, smartripper, whatever, to demux the 5.1 audio).
This leaves you with the .m2v video and .ac3 audio that you need to create your final DVD. Author it with your favorite software that supports 5.1 (like SpruceUp) and you are all set. -
If you want you can just let dvd2avi demux the ac3 track. In the audio tab simply set the dolby digital option to demux instead or decode, or set it to demux all tracks if need be. It's as good a method as any.
The audio will only be decoded if you tell your software to do so, and that goes for any program not just dvd2avi. If you want to preserve the original audio than simply do as EnemyWithin said and demux the ac3 for using in authoring your dvd. -
I want to keep the original menu's. So if I use a authoring program, don't I have to make my own menu's? I thought just burning the files back using nero would keep the dd but maybe thats not correct.

Well by you demuxing your movie and re-encoding you'll loose your menus. Keep menus is very tough (not impossible) with TMPGEnc and CCE re-encoding. You can look into ReMPEG, but I hear mixed things about it. Head over to the Doom9.org forums and search around their DVD topics. You'll pick up alot of stuff there about the menus and such.
