  3. The files are using different encoders: 1.mp4 uses MPEG-4 Visual and 2.mp4 uses AVC.
Try these (1.mp4_new.mp4 and 2.mp4_new.mp4 are AVC encoded)

or in case your player cannot play AVC, try 1.mp4_new_visual.mp4 and 2.mp4_new_visual.mp4, which are encoded as mpeg-4 Visual:

  4. Yes, 1.mp4 uses an older MPEG 4 Part 2 codec (ASP, Divx, Xvid), 2.mp4 uses a more advanced MPEG 4 Part 10 codec (AVC, h.264).

    https://en.wikipedia.org/wiki/MPEG-4_Part_2
    https://en.wikipedia.org/wiki/H.264/MPEG-4_AVC

Keep in mind that MP4 is a container, a logical box that can hold audio and video (and other things) compressed with a variety of codecs. The box has no bearing on the quality of what's inside.
