What is up with "DIV2"?

I'm trying to convert a downloaded movie to a vcd, but it won't open in TmpgENC and VirtualDub. VirtualDub gives me the error that it couldn't find the DIV2 codec and it needed VFW (Video for Windows) codec. I think this is from Microsoft's Mpeg4 V2 codec, right? Anyone know where i can get this elusive DIV2 codec, cause it's drivin me up the wall lookin for it.

Any ideas?
